Terms of Service

These Terms govern your use of AscendPrep (the "Service"), operated by Cook and Company Coaching Ltd. ("we", "us"). By creating an account or paying for a subscription, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

AscendPrep is an AI-assisted CELPIP exam preparation platform. We provide drills, simulations, AI grading, and a coaching agent ("Maple"). The Service is delivered as-is and is not affiliated with Paragon Testing Enterprises or any official CELPIP test administrator.

2. Account eligibility

You must be at least 13 years old. If you are under the age of majority in your province or country, you must have parental or guardian consent. You are responsible for keeping your password secure and for all activity under your account.

3. Subscriptions and payment

  • Paid plans renew automatically at the end of each billing period (monthly or annual) unless canceled before renewal.
  • You may cancel anytime from Settings → Billing. Cancellation stops future charges; access continues until the end of the current paid period.
  • Prices are shown in the currency listed at checkout. Applicable taxes (GST/HST) are added at checkout for Canadian customers.
  • We may change prices with at least 30 days notice for active subscribers; new prices apply at your next renewal.

See our Refund Policy for full details. Briefly: 14-day money-back on first-month subscriptions, no refunds thereafter, prorated cancellations not offered.

5. Acceptable use

You agree not to:

  • Share your account credentials with others.
  • Scrape, copy, or redistribute drill content, model answers, or Maple's coaching output for commercial purposes.
  • Use the Service to harm minors or to harass any individual.
  • Interfere with or disrupt the Service, including by attempting to probe, scan, or test vulnerabilities without prior written authorization.
  • Use automated means to submit drill answers in order to inflate scores or game progress mechanics.

6. Intellectual property

All Service content (drills, lesson materials, Maple's persona and coaching framework, software) is owned by Cook and Company Coaching Ltd. or its licensors. You retain ownership of content you create (your essays, recordings, chat messages). By submitting content you grant us a worldwide, non-exclusive licence to process and display it solely for the purpose of operating the Service for you.

7. AI output and accuracy

Maple uses large language models that can make mistakes. AI-generated scores, feedback, and coaching are estimates and educational guidance — they do not predict your official CELPIP result. Always verify important information independently. We do not guarantee any particular CELPIP score outcome.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

10. Termination

You may delete your account at any time. We may suspend or terminate your account for material breach of these Terms, fraudulent activity, or non-payment. Upon termination, the licence in section 6 ends and we will delete your data per the retention schedule in our Privacy Policy.

11. Governing law

These Terms are governed by the laws of British Columbia, Canada and the federal laws of Canada applicable therein. Any dispute will be resolved in the courts of British Columbia, except where mandatory consumer-protection law of your home jurisdiction applies.

12. Changes

We may update these Terms. Material changes will be emailed to active accounts at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
